These terms and conditions (“Terms”) govern the relationship between Erlano B.V. (“we”, “us”, or “our”), a game publishing company, and you (“you” or “User”). By using our services, you agree to these Terms and our Privacy Policy, which is incorporated herein by reference.

1. Services. We provide you with various services, such as game publishing, distribution, marketing, monetization, analytics, and support, to help you publish your games on different platforms, such as PC, mobile, console, web, or others (collectively, our “Services”). You are responsible for creating, developing, and maintaining your games, as well as complying with all applicable laws, regulations, and platform policies.
2. License. You grant us a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, display, perform, modify, and create derivative works of your games and any related materials, such as title, description, genre, rating, screenshots, videos, and other metadata, for the purpose of providing our Services to you and promoting your games on various platforms and channels. You also grant us the right to use your name, logo, trademark, and other brand elements to identify you as the developer of your games. You retain all ownership and intellectual property rights in your games and any related materials, except for any third-party content or materials that you may use or incorporate in your games, which are subject to their own terms and conditions.
3. Fees and Payments. We charge you a percentage of the net revenue generated by your games as our service fee, as agreed upon in a separate agreement between you and us. The net revenue is the gross revenue received by us or our partners from the sale or monetization of your games, minus any applicable taxes, fees, refunds, chargebacks, or deductions. We will pay you your share of the net revenue on a monthly basis, within 30 days after the end of each calendar month, via the payment method you choose in your account settings. You are responsible for providing us with accurate and complete payment information and for paying any taxes, fees, or charges associated with your payments. We reserve the right to withhold or suspend your payments if we suspect any fraud, breach, or violation of these Terms or any applicable laws, regulations, or platform policies.
4. User Feedback. We may collect, moderate, and display feedback, reviews, ratings, comments, and other user-generated content from users who play your games on various platforms and channels (collectively, “User Feedback”). You acknowledge and agree that User Feedback is the sole property and responsibility of the users who provide it, and that we are not liable for any User Feedback or any loss or damage caused by User Feedback. You also acknowledge and agree that we have the right, but not the obligation, to monitor, edit, remove, or use User Feedback for any purpose, without any notice or compensation to you or any third party.
5. Warranties and Disclaimers. You warrant and represent that: (a) you have the full right, power, and authority to enter into these Terms and to grant us the license and rights as set forth herein; (b) your games and any related materials do not infringe or violate any intellectual property rights, privacy rights, publicity rights, or other rights of any third party; © your games and any related materials do not contain any unlawful, harmful, offensive, defamatory, obscene, or otherwise objectionable content or material; and (d) your games and any related materials comply with all applicable laws, regulations, and platform policies. We disclaim any and all warranties, express or implied, regarding our Services, including, but not limited to, any warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that our Services will be uninterrupted, error-free, secure, or available at any time or location. We do not warrant that our Services will meet your expectations or requirements, or that they will achieve any particular results or outcomes. You use our Services at your own risk and discretion.
6. Limitation of Liability. To the maximum extent permitted by law, we are not liable for any direct, indirect, incidental, special, consequential, or exemplary damages, including, but not limited to, loss of profits, revenue, data, goodwill, or other intangible losses, arising from or relating to these Terms or our Services, whether based on contract, tort, negligence, strict liability, or any other legal theory, even if we have been advised of the possibility of such damages. In no event will our total liability to you for all claims arising from or relating to these Terms or our Services exceed the amount of net revenue paid by us to you in the 12 months preceding the claim.
7. Indemnification. You agree to indemnify, defend, and hold harmless us and our affiliates, directors, officers, employees, agents, and partners from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees, including reasonable attorneys’ fees, arising from or relating to: (a) your breach or violation of these Terms or any applicable laws, regulations, or platform policies; (b) your games and any related materials, including, but not limited to, any infringement or violation of any intellectual property rights, privacy rights, publicity rights, or other rights of any third party; or © any User Feedback or any loss or damage caused by User Feedback.
8. Termination. These Terms will remain in effect until terminated by either you or us. You may terminate these Terms at any time by deleting your account and ceasing to use our Services. We may terminate these Terms at any time by giving you notice via email or through our Services, or by suspending or disabling your access to our Services, for any reason or no reason, with or without prior notice. Upon termination of these Terms, your license and rights to use our Services will cease immediately, and you will delete or destroy all copies of our Games and any related materials in your possession or control. Sections 2, 3, 4, 5, 6, and 7 will survive any termination of these Terms.
